Welcome to CISKO NEW MATERIAL (hereinafter referred to as “Company”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website (pp-pei.com) and the purchase of any products (including PEI and PP resins) from us. By accessing our website or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our website or place orders.

2. Eligibility

Our services are intended for business customers (companies, factories, distributors, and other commercial entities) in the engineering plastics industry. By using our website, you represent and warrant that:

• You are authorized to bind your company/organization to a legally binding agreement.
• You will provide accurate, complete, and up-to-date information (including company name, tax ID if applicable, and contact details).
• You are purchasing products for commercial use, not for personal consumption.

3. Use of Website

You agree to:

• Use our website only for lawful purposes.
• Provide accurate, complete, and current information when filling out forms or requesting quotes.
• Not engage in any fraudulent, deceptive, or abusive activity.
• Maintain the confidentiality of your account credentials (if any).
• Not attempt to gain unauthorized access to our systems or interfere with the website’s operation.

We reserve the right to suspend or terminate your access to our website at our sole discretion, without notice, if you violate these Terms.

4. Orders, Delivery, and Force Majeure

• Order Acceptance: All orders are subject to our acceptance and product availability. A binding contract is formed only when we send an order confirmation email.
• Order Cancellation: Once an order is confirmed, the customer may not cancel it unless we give prior written consent. A cancellation fee (up to 10% of order value) may apply.
• Delivery Times: All delivery dates and times provided are estimates only and may change due to unforeseen circumstances. Delivery dates are not guaranteed.
• Pricing: Prices quoted are exclusive of shipping, customs duties, taxes (e.g., VAT, import tax), and insurance unless otherwise stated. Any applicable taxes and duties are the buyer’s responsibility.
• Force Majeure: We shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, fire, flood, accidents, strikes, transportation disruptions, fuel/energy/labor/material shortages, supplier production issues, pandemic, or government actions.

5. Inspection and Acceptance of Goods

• Inspection at Delivery: You are responsible for inspecting the goods immediately upon delivery (at the carrier’s vehicle tailgate/nozzle).
• Reporting Issues: Any discrepancy, damage, shortage, or quality defect must be reported before unloading – with clear photos/videos and a signed delivery receipt – to info@pp-pei.com.
• Acceptance: Once the goods are unloaded from the delivery vehicle, they are considered irrevocably accepted. No returns, refunds, or claims will be accepted after unloading, except for defective material claims as separately provided in our Refund and Returns Policy.

6. Payment Terms

• Payment must be made in accordance with the terms stated in the order confirmation (typically T/T bank transfer, PayPal, Alipay, or other agreed methods).
• All payments must be made in the currency specified on the invoice (USD or RMB).
• For customers with an approved credit agreement, payment is due within the agreed number of days from the invoice date.
• Late payments may incur interest at the rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower), plus any collection costs.

7. Refund and Returns Policy

Goods are generally non-returnable and non-refundable once unloaded and accepted, except for proven defective materials. Any dispute must be reported before unloading with supporting evidence (photos, weight tickets, delivery person’s confirmation). 8. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, production downtime, business interruption, or regulatory fines) arising from your use of our website or products.
• We shall not be responsible for losses caused by delayed delivery, damage to goods, or product defects unless such issues are reported in strict compliance with the inspection provisions in Section 5 above.
• Our total liability for any claim arising from an order shall not exceed 1% of the total purchase price paid for that specific order.

9. Intellectual Property

All intellectual property rights associated with our website and services – including but not limited to trademarks, logos, software code, text, graphics, product images, and technical datasheets – are owned by or licensed to CISKO NEW MATERIAL. You may not copy, modify, reproduce, distribute, or create derivative works of any content without our prior written consent.

10. Indemnification

You agree to indemnify, defend, and hold harmless CISKO NEW MATERIAL, its employees, officers, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of our website or products in violation of these Terms.
• Your breach of any representation or warranty in these Terms.
• Any third-party claim related to your use of our products in a manner not consistent with our technical recommendations or safety data sheets.

11. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China (excluding its conflict of laws principles).
• Dispute Resolution: Any dispute arising from or relating to these Terms or any purchase shall first be attempted to be resolved through good-faith negotiations. If not resolved within 30 days, the dispute shall be submitted to the Dongguan Arbitration Commission for arbitration in accordance with its rules. The arbitration shall take place in Dongguan, Guangdong Province, China. The language of arbitration shall be Chinese or English as agreed by the parties.
• Jurisdiction: For any matter not subject to arbitration (e.g., injunctive relief), the courts of Dongguan, Guangdong Province, China shall have exclusive jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” at the top of this page indicates the latest revision. Any changes will become effective when we post the revised Terms on this page. Your continued use of our website after such changes constitutes your acceptance of the updated Terms.

13. Entire Agreement

These Terms, together with our Privacy Policy and Refund and Returns Policy, constitute the entire agreement between you and CISKO NEW MATERIAL regarding your use of our website and the purchase of products. Any prior agreements, representations, or understandings, whether written or oral, are superseded.
